Terms of Service

By creating an account, making a purchase, listing products for sale, or otherwise using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Platform.

We reserve the right to update or modify these Terms at any time without prior notice. Your continued use of the Platform after any such changes constitutes your acceptance of the new Terms. The "Last Updated" date at the top of this page indicates when these Terms were last revised.

3.1 Eligibility

To use the Platform, you must be at least 18 years old and have the legal capacity to enter into a binding agreement. By registering, you represent and warrant that you meet these requirements.

3.2 Account Types

• Customer Accounts: For purchasing products. Customers can view products, add items to cart, place orders, track deliveries, and manage wishlists.
• Vendor Accounts: For selling products. Vendors can list products, manage inventory, process orders, view analytics, and withdraw earnings.

3.3 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to protect your account.

4.1 Purchasing Products

• You agree to provide accurate and complete information when placing an order, including shipping details and payment information.
• All prices listed are in Nigerian Naira (NGN) unless otherwise stated.
• Prices are subject to change without notice; however, the price at the time of order placement is the final price.
• You are responsible for any applicable taxes, customs duties, or other charges associated with your purchase.

4.2 Order Cancellation

• Orders may be cancelled within 1 hour of placement without penalty.
• Orders that have been processed or shipped cannot be cancelled; however, you may request a return in accordance with our return policy.
• We reserve the right to cancel any order for reasons including but not limited to: product unavailability, pricing errors, suspected fraud, or violation of these Terms.

4.3 Reviews and Feedback

• You may leave reviews for products you have purchased.
• Reviews must be honest, respectful, and based on your genuine experience.
• We reserve the right to remove reviews that are false, defamatory, discriminatory, or contain inappropriate content.

5.1 Product Listings

• Vendors are responsible for the accuracy, completeness, and legality of their product listings.
• Product descriptions, images, and specifications must accurately represent the item being sold.
• Vendors must ensure they have the right to sell the products they list.
• Prohibited items include: counterfeit goods, illegal products, hazardous materials, and items that infringe on intellectual property rights.

5.2 Pricing and Platform Fees

• Vendors set their own product prices.
• A 3% platform fee is automatically applied to all product prices. This fee covers payment processing, platform maintenance, customer support, and escrow services.
• Vendors receive payment for the product amount only, after applicable fees.

5.3 Order Fulfillment

• Vendors must fulfill orders in a timely manner as specified in their shipping profiles.
• Vendors are responsible for ensuring products are properly packaged and shipped.
• Vendors must provide accurate tracking information when available.
• Failure to fulfill orders may result in account suspension or termination.

5.4 Vendor Wallet and Escrow

• All payments to vendors are held in escrow until the order is confirmed as delivered.
• Escrow funds are released to the vendor's wallet upon order delivery confirmation.
• Vendors may request withdrawals from their wallet after funds are available.
• Withdrawals are processed through Paystack to the vendor's registered bank account.
• Minimum withdrawal amount is ₦1,000.

Henzret operates an escrow payment system to protect both Buyers and Sellers. This section explains how the escrow system works and your rights and obligations.

6.1 How Escrow Works

1. Order Placement: When a Customer places an order and makes payment, the funds are held in escrow by Henzret.
2. Order Processing: The Vendor processes the order, prepares the product for shipment, and provides tracking information.
3. Delivery Confirmation: Upon delivery of the order, the Customer confirms receipt, or the order is marked as delivered.
4. Escrow Release: Funds are released from escrow to the Vendor's wallet after delivery confirmation.
5. Dispute Resolution: If there is a dispute, the funds remain in escrow until the dispute is resolved.

6.2 Escrow Timeline

• Funds Held: Payment is held in escrow immediately upon order confirmation.
• Escrow Hold Period: Funds remain in escrow until delivery confirmation, but no longer than 14 days after order placement (unless extended due to disputes).
• Automatic Release: If the Customer does not confirm delivery within 7 days of delivery notification, funds may be automatically released to the Vendor.
• Dispute Extension: If a dispute is filed, the escrow hold period is extended until the dispute is resolved.

6.3 Escrow Release

• Escrow funds are released to the Vendor's wallet when the order status is updated to "delivered" by the Vendor and confirmed by the Customer.
• Upon release, the funds become immediately available for withdrawal by the Vendor.
• Henzret may release escrow funds without Customer confirmation in cases where delivery is confirmed via tracking and the Customer does not raise a dispute within the specified timeframe.

6.4 Escrow Disputes

• If an order is not received as described, the Customer may file a dispute.
• Disputes must be filed within 7 days of the expected delivery date.
• Henzret will investigate the dispute and may request additional information from both parties.
• Based on the investigation, Henzret may:
  • Release funds to the Vendor (if the dispute is found to be without merit).
  • Refund the Customer (if the dispute is found to be valid).
  • Apportion funds between the parties (in cases of partial fulfillment).
• Henzret's decision in disputes is final and binding on all parties.

7.1 Shipping Profiles

Vendors may create multiple shipping profiles with different delivery options and rates based on:

• Shipping Zone: Geographic regions where the vendor can deliver.
• Weight Range: Minimum and maximum product weight for the profile.
• Fee: The shipping cost charged to the Customer.
• Delivery Timeline: Estimated minimum and maximum delivery days.
• Free Shipping Threshold: Order amount that qualifies for free shipping.

7.2 Shipping Costs

• Shipping costs are calculated based on the vendor's shipping profiles and the Customer's delivery location.
• Shipping costs are added to the order total at checkout.
• Vendors are responsible for managing their shipping profiles and ensuring costs are accurate.

7.3 Delivery Responsibilities

• Vendors are responsible for ensuring orders are shipped to the correct address provided by the Customer.
• Vendors must provide accurate tracking information to customers.
• Customers are responsible for providing accurate delivery information.
• Henzret is not liable for delivery issues caused by incorrect addresses, theft, or damage during transit.

8.1 Return Policy

• Customers may request returns within 7 days of delivery for products that are:
  • Defective or damaged upon arrival.
  • Not as described in the product listing.
  • Incorrect item shipped.
• Return requests must include proof of purchase and clear photos of the product issue.
• Vendors must respond to return requests within 48 hours.
• Vendors may offer exchanges, refunds, or replacements as appropriate.

8.2 Refund Process

• Refunds are processed through the same payment method used for the original purchase.
• Refunds are issued to the Customer only after the returned item is received and inspected by the Vendor.
• If the Vendor does not respond to a return request within the specified timeframe, Henzret may issue a refund on behalf of the Vendor.

9.1 Payment Methods

• We accept payments through Paystack, which supports:
  • Debit and credit cards (Visa, Mastercard, etc.)
  • Bank transfers
  • USSD banking
  • Other payment methods supported by Paystack
• All payments are processed securely through Paystack's payment gateway.

9.2 Platform Fees

• For Customers: No additional platform fees are charged. You pay the product price plus shipping plus any applicable transaction fee and/or taxes.
• For Vendors: A 3% platform fee is applied to all product prices at the time of listing. This fee covers:
  • Escrow payment services
  • Platform maintenance and hosting
  • Customer support
  • Marketing and promotion
  • Payment gateway fees
• Vendor prices are automatically marked up by 3% to cover the platform fee.

9.3 Withdrawal Fees

• Withdrawals from vendor wallets to bank accounts may incur bank transfer fees.
• Paystack transaction fees apply to all transfers.
• Vendors are responsible for any fees charged by their banks.

Customers may submit support tickets for assistance with:

• Order issues (delivery, quality, returns)
• Account management (login, profile, password)
• Payment issues (failed transactions, refunds)
• Technical problems with the platform
• General inquiries

11.1 Platform Content

All content on the Platform, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, and software, is the property of Henzret Automotive (Nig) Limited or its content suppliers and is protected by Nigerian and international copyright laws.

11.2 User Content

By submitting content to the Platform (including product listings, reviews, and images), you grant Henzret a non-exclusive, royalty-free, perpetual, irrevocable license to use, reproduce, modify, adapt, publish, and display such content in connection with the Platform.

11.3 Trademarks

The Henzret name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Henzret Automotive (Nig) Limited. You may not use such marks without our prior written permission.

You agree not to:

• Use the Platform for any unlawful purpose or in violation of any applicable laws.
• Impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity.
• Post or transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.
• Interfere with or disrupt the Platform or servers or networks connected to the Platform.
• Attempt to gain unauthorized access to any portion of the Platform.
• Use any robot, spider, or other automatic device to access the Platform.
• Engage in any activity that could damage, disable, overburden, or impair the Platform.
• List counterfeit or infringing products.
• Engage in fraudulent activities, including fake reviews, fake orders, or payment fraud.
• Manipulate product ratings or reviews.

We may terminate or suspend your account and bar access to the Platform immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including without limitation a breach of these Terms.

Upon termination, your right to use the Platform will immediately cease. If you wish to terminate your account, you may simply discontinue using the Platform or contact us to request account deletion.

Vendors with outstanding escrow balances will receive their funds after all obligations are fulfilled and any pending disputes are resolved.

To the fullest extent permitted by applicable law, in no event shall Henzret Automotive (Nig) Limited, its affiliates, officers, directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your use or inability to use the Platform.
• Any conduct or content of any third party on the Platform.
• Any content obtained from the Platform.
• Unauthorized access, use, or alteration of your transmissions or content.

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. HENZRET AUTOMOTIVE (NIG) LIMITED MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, REGARDING THE OPERATION OR AVAILABILITY OF THE PLATFORM, OR THE INFORMATION, CONTENT, MATERIALS, OR PRODUCTS INCLUDED ON THE PLATFORM. YOU EXPRESSLY AGREE THAT YOUR USE OF THE PLATFORM IS AT YOUR SOLE RISK.

16.1 Informal Resolution

Before filing any claim against Henzret, you agree to first contact us to resolve the dispute informally. Most disputes can be resolved through our customer support team.

16.2 Governing Law

These Terms shall be governed and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.

16.3 Arbitration

Any dispute arising from or relating to these Terms or the Platform shall be resolved through binding arbitration in Lagos State, Nigeria, in accordance with the Arbitration and Conciliation Act of Nigeria. The arbitration shall be conducted by a single arbitrator appointed by mutual agreement of the parties. The decision of the arbitrator shall be final and binding on all parties.

You agree to indemnify, defend, and hold harmless Henzret Automotive (Nig) Limited and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:

• Your use of and access to the Platform.
• Your violation of any term of these Terms.
• Your violation of any third-party right, including without limitation any copyright, property, or privacy right.
• Any claim that your content caused damage to a third party.

These Terms, together with our Privacy Policy and any other legal notices published by us on the Platform, constitute the entire agreement between you and Henzret Automotive (Nig) Limited regarding your use of the Platform and supersede all prior agreements and understandings, whether written or oral.

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
